Welcome to Subbase Jiu Jitsu (“Subbase,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Subbase Jiu Jitsu platform, websites, and services.

By accessing or using Subbase, you agree to be bound by these Terms.

1. Description of Services

Subbase Jiu Jitsu provides software tools and services designed to help martial arts academies manage operations, including but not limited to:

  • Membership management

  • Billing and payments

  • Curriculum tracking

  • Ranked match tracking

  • Messaging and communications

  • Reporting and analytics

We reserve the right to modify, update, or improve the platform at any time.

2. Eligibility

You must be at least 18 years old to create an account. By using Subbase, you represent that you have the authority to enter into these Terms.

Academies using Subbase are responsible for ensuring proper consent is obtained from their members where required.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • Ensuring the accuracy of the information provided

  • All activity that occurs under your account

Subbase is not liable for losses resulting from unauthorized access caused by your failure to secure your credentials.

4. Payments & Subscriptions

Certain features of Subbase require payment.

  • Subscription fees are billed as agreed at signup

  • Payments are processed securely through third-party providers

  • Failure to pay may result in suspension or termination of access

Subbase does not store full payment card information on its own servers.

5. SMS Messaging & Communications

By providing your phone number through Subbase or a Subbase-powered academy, you consent to receive SMS messages related to:

  • Account notifications

  • Billing updates

  • Class reminders

  • Platform alerts

  • Optional promotional messages (only if you opt in)

Message frequency may vary. Message and data rates may apply.

You may opt out at any time by replying STOP. For assistance, reply HELP.

Subbase Jiu Jitsu does not sell or share mobile phone numbers for third-party marketing purposes.

6. Acceptable Use

You agree not to:

  • Use the platform for unlawful purposes

  • Attempt to gain unauthorized access to systems

  • Interfere with platform performance

  • Transmit harmful, abusive, or malicious content

  • Use Subbase to send unsolicited or non-consensual SMS messages

Academies are solely responsible for complying with local, state, and federal laws regarding messaging and member communications.

7. Intellectual Property

All content, branding, software, and materials related to Subbase Jiu Jitsu are the property of Subbase unless otherwise stated.

You may not copy, reproduce, distribute, or modify platform materials without written permission.

Academies retain ownership of their own uploaded content and data.

8. Data & Privacy

Your use of Subbase is also governed by our Privacy Policy.

We do not sell personal data. Data is stored using industry-standard security practices, including encryption and restricted access controls.

9. Platform Availability

We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation.

Subbase is not liable for temporary outages, service interruptions, or technical issues beyond our reasonable control.

10. Limitation of Liability

To the fullest extent permitted by law:

Subbase Jiu Jitsu shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the platform.

Total liability shall not exceed the amount paid by the user in the preceding 12 months.

11. Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms

  • Fail to pay required fees

  • Engage in misuse or unlawful conduct

Users may cancel subscriptions in accordance with their billing agreement.

12. Changes to Terms

We may update these Terms periodically. Continued use of the platform after updates constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
